Terms of Service

§1. Definitions

In these Terms of Service ("Terms"):

  • "DOSSIAR", "we", "us", "our" means DOSSIAR Labs Inc., incorporated under the laws of Canada with registered office in Ontario.
  • "Service" — the DOSSIAR web application, APIs, Virtual Embassy, Simulated Officer, and related products at dossiar.com.
  • "User" — the natural person who accesses the Service, plus any firm or institution on whose behalf that person acts.
  • "RCIC" — Regulated Canadian Immigration Consultant, licensed by the CICC.
  • "CICC Code" — the CICC Code of Professional Conduct, as amended.
  • "IRCC" — Immigration, Refugees and Citizenship Canada.
  • "IRPA" — the Immigration and Refugee Protection Act (S.C. 2001, c. 27).
  • "Content", "User Content", "Subscription" — as defined in their usage below.

§2. Acceptance

§2.1 By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Disclaimer.

§2.2 If you act for a firm or institution, you represent that you have authority to bind it.

§2.3 If you do not agree, do not use the Service.

§3. Description of Service

§3.1 DOSSIAR is an educational simulation platform. It generates fictional case files and simulated officer verdicts for professional-development purposes.

§3.2 DOSSIAR is a training tool. It is not a law firm, not a government agency, not an authorized representative under IRPA s.91, and not a substitute for licensed professional judgement.

§3.3 Simulated verdicts carry no legal weight and do not bind IRCC, the IRB, any court, or any decision-maker.

§4. Accounts and Eligibility

§4.1 You must be 18+.

§4.2 Paid features are intended for CICC-licensed RCICs, provincial law-society-licensed lawyers, firms employing them, and institutions delivering CICC-recognized programs.

§4.3 Provide accurate registration information and safeguard credentials. Notify legal@dossiar.com of any suspected unauthorized access.

§5. User Conduct

§5.1 You will not:

  • §5.1(a) share or resell your account or credentials;
  • §5.1(b) submit any real client personally identifiable information. All practice data must be synthetic. We may suspend accounts that breach this;
  • §5.1(c) use the Service to advise a real applicant or produce output presented as official guidance;
  • §5.1(d) reverse-engineer, decompile, disassemble, scrape, or otherwise extract scenarios, prompts, evaluators, or model configurations, except where such restriction is prohibited by law;
  • §5.1(e) use the Service to violate IRPA s.91 or the CICC Code;
  • §5.1(f) upload malicious code or interfere with Service integrity;
  • §5.1(g) build a competing product or train competing models;
  • §5.1(h) violate any applicable law.

§6. Subscription, Billing, and Refunds

§6.1 Subscriptions are billed in advance in CAD plus applicable taxes and renew automatically.

§6.2 30-day prorated refund for Individual Subscribers: refund prorated for the unused portion, less transaction fees. No refunds after 30 days, except where required by the Consumer Protection Act, 2002 (ON), the Business Practices and Consumer Protection Act (BC), or other consumer-protection legislation.

§6.3 Firm and institutional subscriptions: governed by a separate MSA.

§6.4 Cancel in Settings → Billing, effective at end of billing period.

§6.5 Price changes take effect on renewal, with 30 days' notice.

§7. Intellectual Property

§7.1 Our IP. The Service (scenarios, prompts, evaluators, models, code, KB corpora, designs, docs) is the exclusive property of DOSSIAR Labs Inc.. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use it for internal training and CPD.

§7.2 Your Content. You retain title. You grant DOSSIAR Labs Inc. a worldwide, royalty-free, non-exclusive, sublicensable licence to host, store, reproduce, transmit, and modify your User Content solely to (a) operate the Service, (b) produce Simulated Officer feedback, (c) generate CPD records, and (d) in de-identified and aggregated form, improve the Service, train evaluators, and publish anonymized benchmarks.

§7.3 Opt-out. Enterprise/institutional customers may opt out of §7.2(d) in writing.

§7.4 Feedback is licensed to us perpetually and royalty-free.

§8. CICC Code Compatibility

§8.1 RCIC Users remain solely responsible for compliance with the CICC Code, By-laws, IRPA, Regulations, and provincial law-society obligations.

§8.2 Nothing here relieves an RCIC of independent professional judgement. The Service supplements; it does not replace.

§8.3 DOSSIAR Labs Inc. is not the RCIC's firm, partner, employer, or supervising professional, and owes no duty to any real client.

§9. Confidentiality and Privacy

§9.1 Personal information is handled per our Privacy Policy (PIPEDA + Quebec Law 25 + GDPR compliant).

§9.2 The Service is not certified for real client confidential information.

§10. Disclaimers and Warranties

§10.1 THE SERVICE IS "AS IS" / "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, TITLE, AND NON-INFRINGEMENT.

§10.2 No warranty that the Service is uninterrupted, error- free, or that outputs are accurate or current.

§10.3 Nothing limits consumer rights that cannot be waived under the Consumer Protection Act, 2002 (ON), the Business Practices and Consumer Protection Act (BC), or other consumer-protection legislation.

§11. Limitation of Liability

§11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOSSIAR Labs Inc. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PROFESSIONAL REPUTATION.

§11.2 Aggregate cap. Our total liability shall not exceed the greater of (a) CAD $100 or (b) the total fees paid by you to DOSSIAR Labs Inc. in the 12 months preceding the claim.

§11.3 These limitations survive termination and apply even if any remedy fails of its essential purpose.

§11.4 Where exclusions are not permitted, liability is limited to the minimum extent permitted.

§12. Indemnification

§12.1 You will defend, indemnify, and hold harmless DOSSIAR Labs Inc. and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, costs, and legal fees (on a solicitor-and-own-client basis) arising from:

  • §12.1(a) your breach of these Terms;
  • §12.1(b) your misuse of the Service, including use to advise a real client contrary to §5.1(c);
  • §12.1(c) submission of real client PII contrary to §5.1(b);
  • §12.1(d) regulatory or disciplinary complaints against you by the CICC, a law society, IRCC, or other body, arising from your use of the Service;
  • §12.1(e) third-party claims that your User Content violates rights;
  • §12.1(f) your violation of any law.

§12.2 You may not settle any claim without our consent if it would bind us, admit our fault, or exceed an unconditional release.

§13. Termination

§13.1 Cancel anytime in Settings → Billing, effective at the end of the billing period.

§13.2 We may suspend or terminate for breach, legal/regulatory/ security risk, or 18 months of inactivity.

§13.3 On termination, your licence ends, you must cease use, we may delete User Content per retention policy, and §§7, 10, 11, 12, 14, and 16 survive.

§14. Dispute Resolution and Arbitration

§14.1 Notify legal@dossiar.com and negotiate in good faith for 30 days before formal proceedings.

§14.2 Binding arbitration. Except for IP injunctive relief and Small Claims Court matters, disputes are finally resolved by confidential, binding arbitration under the ADR Institute of Canada Arbitration Rules.

§14.3 Seat: Toronto, Ontario. English. Single arbitrator.

§14.4 Class-action waiver to the maximum extent permitted. If unenforceable, the class claim proceeds in court.

§14.5 Nothing deprives a consumer of rights that cannot be waived under the Consumer Protection Act, 2002 or other consumer-protection statute.

§15. Governing Law

§15.1 Ontario laws and federal laws of Canada applicable therein govern, without regard to conflicts of law.

§15.2 Subject to §14, Ontario courts (Toronto) have exclusive jurisdiction.

§15.3 UN CISG does not apply.

§16. Changes to These Terms

§16.1 Material changes: email + in-Service notice at least 30 days before they take effect.

§16.2 Continued use = acceptance. Otherwise, cancel.

§17. General

§17.1 Entire agreement (Terms + Privacy + Disclaimer + MSA/order form).

§17.2 Severability.

§17.3 No waiver by non-enforcement.

§17.4 Assignment: not by you without consent; by us in M&A.

§17.5 Notices: to you by email; to us at legal@dossiar.com + registered mail to Ontario office.

§17.6 Language. English. Les parties ont exigé que la présente convention soit rédigée en anglais.
